COALDALE · E-2 FIELD GUIDE

What financial records should Coaldale buyers obtain before an E-2 filing?

THE DIRECT ANSWER

Three years of financial statements and tax filings, the purchase agreement, escrow terms, evidence of the lawful origin of the buyers' funds and the transfer path into the transaction, plus leases, licences and customer contracts.

Two money stories have to hold together

Hypothetical example: the buyers are funding the purchase from the sale of a Coaldale rental property and a line of credit. The file has to tell that story end to end: the property title and sale documents, the lawyer's trust statement, the deposit into their account, the credit agreement, and the transfer into escrow. Each step needs a document, and the amounts have to reconcile.

The second story is about the business: audited or reviewed statements where available, tax returns, accounts receivable ageing, equipment lists, the lease for the shop and yard, and the licences the company holds. Where the seller has adjusted the statements to present a better picture, ask for the workings. A reviewer who cannot follow either story from beginning to end will ask questions that take months to answer.
