A first American depot has to show it can support the role within a year

THE SHORT ANSWER

Hypothetical example: a Coalhurst industrial-coatings company is opening its first American depot and wants to send a manager to run it. Where the U.S. operation has been doing business for less than a year, the petition is treated as a new office: approved initially for one year, and expected to show secured premises and a realistic plan for supporting a managerial role by the end of that period.

01

Secured premises means a real place with a signed document

The requirement is that sufficient physical premises for the new operation have been secured, and that is evidenced with a lease or purchase document, photographs, and a description of why the space suits the work. A coatings depot needs storage, ventilation, containment and access for trucks, so the space should be shown to be adequate for the operation described rather than merely to exist. Confirm that the entity signing the lease is the entity that will petition, because a lease signed personally by the owner raises an avoidable question. Photograph the space before and after fit-out and keep the contractor invoices, because that record also supports the case that the operation was genuinely being established.

02

The staffing plan is what makes the role managerial by year end

In the first months a manager in a new depot will do a great deal personally. The petition should present a hiring plan with dates and roles: who is engaged in month two, month five, month nine, and which duties move off the manager's desk as each person arrives. Support it with the financial capacity to do the hiring — capitalisation, committed funding from the Coalhurst company, projected revenue. A plan that keeps the manager as the only worker for a year does not describe a managerial role at the end of it.

03

Prepare the extension file from the first day of trading

The one-year period ends with an examination of what actually happened, so keep the evidence as it is generated: payroll registers, customer invoices, the organisation chart as it fills out, photographs of the operating depot, and financial statements. A company that assembles this in the final month will find gaps it cannot fill retrospectively. The corporate relationship must also still hold, with both entities actively doing business, and the manager's duties must have become primarily managerial in fact rather than only in the original plan. Assign one person in the Coalhurst office to collect that material monthly, since evidence gathered as it appears costs an hour and evidence reconstructed later can cost a filing.
