A person who wants to lead a US business should compare the actual work and ownership arrangement with each category’s requirements. L-1A does not cover every supervisor, and E-2 does not cover every business purchase. The most useful comparison identifies the fact that supports or limits each route. The meaningful decision is whether the person is being transferred through a qualifying business structure or is personally committing capital to direct a treaty enterprise; the labels cannot be mixed to cure missing facts. Hypothetical example: A Canadian producer of stop-motion animation owns a related U.S. company and also has personal funds to buy a small studio. She must decide whether the foreign employment and managerial role support L-1 or whether the capital, nationality, and operating plan support E-2.
Examine the transfer role closely
For L-1A, analyze primarily managerial or executive duties, one continuous year of qualifying foreign employment within the preceding three years, the qualifying corporate relationship and active U.S. and foreign entities. If the work instead relies on company-specific specialized knowledge, assess L-1B under its own standard, including the five-year maximum and any client-site control restrictions. L-1A has a seven-year maximum. For L-1, map the ownership relationship, active businesses, foreign employment, and the exact US duties. The uninterrupted qualifying year abroad must occur during the three years before filing, while the L-1A and L-1B maximum periods are seven and five years respectively.
Examine the investor’s authority and commitment
E-2 needs relevant treaty nationality, qualifying substantial at-risk investment and development and direction of a nonmarginal enterprise. A franchise or partnership requires review of its actual terms. The L-1 managerial definition should not be imported as though it were the same E-2 test. For E-2, trace the investor's treaty nationality, business ownership, money trail, and authority to personally develop and direct the company. The capital must be beyond withdrawal and exposed to loss, and the enterprise cannot be marginal.
Compare the household and business sequence
Identify when the person can lawfully work, who will operate the business before then and which family members need separate permission. Review commercial deadlines alongside immigration steps. Neither temporary route itself grants permanent residence or assures a future immigrant case. Decide which route fits the family and business schedule before signing commercial commitments. Neither route automatically provides permanent residence; a spouse's work circumstances and children's individual status must be planned from the actual category.
